Abstract:
First, say that the dissolution of Corporations comes from the area of Business Law, subject has been taught for the Degree of Labour Relations and Employment. It is important to clarify that all Corporations born on the base of the idea of satisfying the expectations of partners in time, however, circumstances provided in the bylaws or supervening and beyond to the will of the shareholders may cause its dissolution before the preset time, being this precisely the object of labor. In addition, a result of the current economic crisis, many companies are crossing difficult situations from the point of view economic, this is the motivation for choosing this topic. The legal extinction of a capital company is the result of a process composed for three phases that occur successively, and we refer to the dissolution, liquidation and extinction of the partnership. On the development of this study it comes to explaining reforms act liability companies in matter of dissolution, definition of dissolution, modes of dissolution, as well as recent and future regulatory changes to the regulation of the dissolution causes through current legislation (RDL 1/2010) and Proposed Merchant Code that presented on June 20, 2013 and intends modernize and update our regulations to present reality.
