Abstract: El presente estudio es un intento de abordar la figura del grupo de sociedades desde una perspectiva global para comprender la especificidad de esta realidad empresarial que provoca serios problemas jurídicos, haciendo especial atención a las implicaciones derivadas de la contradicción entre unidad económica y pluralidad jurídica, la configuración de una dirección unificada y el surgimiento del interés del grupo, un interés autónomo y diferenciado del interés social de los miembros pertenecientes al grupo. Sólo después de realizar una valoración acerca de los rasgos característicos y definidores del grupo, la dificultad de construir una definición unitaria del concepto de grupo, la inadecuación del régimen jurídico que ofrece el derecho societario y la real necesidad de legitimar el interés del grupo, se plantean algunas posibles soluciones que permiten canalizar los distintos intereses que conviven dentro del grupo y evitar un enfrentamiento entre ellos. Sostenemos que es posible mantener un equilibrio entre estos intereses para el buen funcionamiento del grupo, sin por ello desatender a los intereses particulares que son tan legítimos y necesitados de protección como el interés del grupo. This study is an attempt to deal with the group of companies from a global perspective to understand the specificity of this business reality that causes legal problems, with a particular attention to the implications of the contradiction between economic unity and legal pluralism, the configuration of a singular management and the interest of the group emergence. Before making an assessment of its characteristic features the difficulty of building a single definition of the concept of group, the inadequacy of the company law and the need to legitimize the interest of the group, this raises some possible solutions to balance the different interests coexisting in the group and to avoid their opposition. We uphold the balance between these interests for the proper functioning of the group without disregarding the particular lawful interests in need of protection. El present estudi és un intent de tractar la figura del grup de societats des d’una perspectiva global per a la comprensió de l’especificitat d’aquesta realitat empresarial que provoca greus problemes jurídics, fent especial atenció a les implicacions derivades de la contradicció entre unitat econòmica i pluralitat jurídica, la configuració d’una direcció unificada i el sorgiment de l’ interès del grup, un interès autònom i diferencial de l’ interès social dels membres que pertanyen al grup. Només després de realitzar una valoració sobre els trets característics i definidors del grup, la dificultat de construir una definició unitària del concepte de grup, la inadequació del règim jurídic que ofereix el dret societari i la real necessitat de legitimar l’ interès del grup, es plantegen algunes possibles solucions que permeten canalitzar els diferents interessos que coexisteixen dins del grup i evitar un enfrontament entre els mateixos. Sostenim que és possible mantindre un equilibri entre aquests interessos pel bon funcionament del grup, sense desatendre els interessos particulars que són tan legítims i necessitats de protecció com l’ interès del grup.
