Abstract:
This paper seeks to assess the implementation of the Business Judgement Rule in Spain with precept 226 LSC. The reform of the present regulation has introduced this american rule, which had already been applied by our courts, even though her collation was did not take before. The purpose of the modification has been to give a margin of discretion to the directors to take their decisions and then, not to act in fear and to be able to decide strategically. This way, for any mistake or negative result will not make them responsible. Furthermore, this article focuses on the origin of the rule and this application on other legal systems, particularly in Germany and Italy, and finally Spain.
