Abstract: El objetivo del presente trabajo ha sido la Ley 14/2013, también conocida como la Ley de los emprendedores. Concretamente, se ha hecho un análisis de los cambios materiales que este articulado ha introducido en materia mercantil que han sido los responsables del nacimiento de una nova forma societaria, la Sociedad de Responsabilidad Civil de Formación Sucesiva sujeta a un régimen diferente al de la Sociedad de Responsabilidad Limitada dispuesta en la Ley de Sociedades de Capital, legislación que tiene como razón de ser el fomento de la emprenedoría. Por tanto, para poder concluir si la reciente introducida ley ha cumplido con el objetivo, la comparativa entre ambas leyes y formes societarias, ha sido el eje de esta tarea. Después de haber apuntado los precedentes legislativos históricos que regulaban la SRL, se ha entrado en el que sería el cuerpo del trabajo, la comparativa entre la SRL (LSC) i el nuevo régimen introducido para la SRLF (LAEI) de la cual se ha concluido que el régimen al que está sujeta la SRLFS no ha sido nada favorable por lo que hace el fomento de la creación de nuevas empresas, ya que la posibilidad de constitución con un capital inferior al mínimo legal comporta la sujeción al régimen de formación sucesiva, que no compensa a esta aportación ínfima inicia de capital social. The aim of the present task has been the study of the Law 14/2013, also known as the entrepreneurs' Law. Concretely, there has been done an analysis of the material changes about the Trademark Law, which have been the responsible of the foundation of this new kind of association form, the Undertaking of Civil Responsibility of Successive Formation subject to a regime different from that of the Company of Limited Responsibility arranged in the Law of Capital companies, legislation that promotes the entrepreneurship as its main goal. To be able to judge, if this new law and its new kind of undertaking has been achieved the goal, in this project we have made a comparative between the old and the new legislation. This assignment has been started with a historical point of view, and after that we made the said comparison, as a result of this one we concluded that the new legislation is not very useless in terms of entrepreneurship, as the possibility of constitution of a society with a capital lower than the legal minimum is tied with some restrictions that are not attractive for the partners and administrators. L’objectiu del present treball ha estat la Llei 14/2013, també coneguda com la Llei dels emprenedors. Concretament, s’ha fet un anàlisis dels canvis materials que aquest articulat ha introduït en matèria mercantil que han sigut els responsables del naixement de una nova forma societària, la Societat de Responsabilitat Civil de Formació Successiva subjecta a un règim diferent al de la Societat de Responsabilitat Limitada disposada en la Llei de Societats de Capital, legislació que té com a raó de ser el foment de la emprenedoria. Per tant, per poder concloure si la recent introduïda llei ha complert amb el seu objectiu, la comparativa entre ambdues lleis i ambdues formes societàries, ha estat l’eix d’aquesta tasca. Després d’haver apuntat els precedents legislatius històrics que regulaven la SRL, s’ha entrat en el que seria el cos del treball, la comparativa entre la SRL (LSC) i el nou règim introduït per la SRLFS (LAEI) de la qual s’ha extret la conclusió que el règim al que està subjecta la SRLFS no ha estat gens avantatjós pel que fa al foment de la creació de noves empreses, ja que la possibilitat de constitució amb un capital inferior al mínim legal comportar la subjecció al règim de formació successiva, que no compensa a aquesta aportació ínfima inicia de capital social.
